Preity Zinta again moves court against two firm co-directors
Preity Zinta , film actress and one of the directors of KPH Dream Cricket Private Limited, has once again approached a local court against co-directors Mohit Burman and Ness Wadia. The court has issued notices to the defendants for filing replies by May 22.
In the suit filed before the court she prayed to declare the extraordinary general meeting of the company held on April 21 as illegal and invalid. She contended that it was conducted by Burman with support of Wadia in blatant contravention, violation and total disregard of the provisions of the companies Act, 2013, and the secretarial standard on general meetings.
She has also prayed to restrain Burman and Wadia from giving effect to any resolution that may have been passed in the meeting and also to restrain Muneesh Khanna, from acting or holding himself as a director of the company. She has also prayed for preventing the company and other directors from convening any further board or general meeting, and from conducting any business relating to the affairs of the company in her, Karan Paul or Khanna’s absence during the pendency of the suit.
Zinta holds 23% shareholding in the company, which holds a franchise of the IPL and owns a cricket team known as Punjab Kings.
In the suit, has stated that despite the objections raised by her in an email dated April 10, Burman unlawfully convened the meeting at the registered office of the company on April 21. She attended the meeting along with other directors. At the outset of the meeting, it was pointed out that no chairperson had been appointed to conduct the meeting.
Accordingly, she and another director Karan Paul drew the attention of Burman and Wadia to the fact that in the event no director has been designated as the chairperson of the board, then the directors present in the meeting shall elect one of themselves to be chairperson of the meeting. They objected to the appointment of Wadia as chairperson of the meeting. However, instead of declaring the meeting closed without transacting any business thereat, and in total disregard of the objections raised by the applicant and Paul, defendants Burman and Wadia illegally went ahead with meeting and purportedly appointed Khanna as additional non-executive director of the company.
